Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Compass RMS, provided by Compass Intelligence Limited, a company registered in England and Wales (company number 15428272) (“Compass”, “we”, “us”). By creating an account or using the service you agree to these Terms.
1. The service
Compass RMS provides AI-assisted pricing recommendations for hotels. Recommendations are produced by a deterministic pricing engine combined with a language-model overlay. They are decision support only: you remain solely responsible for the rates you publish and for compliance with your own distribution and rate-parity agreements.
2. Accounts & acceptable use
You are responsible for the accuracy of the data you provide, for keeping your credentials secure, and for the activity under your account. You agree not to misuse the service, attempt to access other tenants’ data, reverse-engineer the platform, or use it unlawfully.
3. Subscriptions, fees & cancellation
Subscriptions are billed monthly per property at the plan rate in effect. There are no commission fees on bookings or revenue. You may cancel at any time; access continues through the end of the paid period and fees already paid are non-refundable except where required by law. We may change pricing on reasonable notice, effective at your next renewal. All fees are exclusive of any applicable taxes; Compass is not currently VAT-registered, so no VAT is added — should that change, we will give notice and charge VAT as required by law.
4. Data protection
Our handling of personal data is described in the Privacy Notice. Where we process personal data on your behalf, the Data Processing Agreement applies and forms part of these Terms. You retain ownership of your property and pricing data and may export it at any time.
5. Availability
We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance and may modify or discontinue features on reasonable notice. Third-party integrations (PMS, channel managers, competitor data sources) are outside our control and may affect availability of dependent features.
6. Warranties & liability
The service is provided “as is” without warranty of fitness for any specific commercial outcome; we do not warrant any particular revenue, occupancy or ADR result. To the maximum extent permitted by law, neither party is liable for indirect or consequential loss, and our aggregate liability is capped at the fees you paid in the twelve months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law (including for death or personal injury caused by negligence, or for fraud).
7. Term & termination
Either party may terminate for material breach not remedied within 30 days of notice. On termination your access ends, and your data is made available for export and then deleted in line with the DPA and Privacy Notice.
8. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.
